Last Updated: April 2nd, 2026
By accessing or using this website (the "Website") owned and operated by Unini Campbell ("we," "us," or "our"), you agree to be bound by these Terms of Use (these "Terms"). These Terms govern your access to and use of the Website, including any content, functionality, services, courses, tools, software, and resources offered on or through the Website (collectively, the "Services"). If you do not wish to be bound by these Terms, you must immediately cease all access to and use of the Website.
1. Scope of Terms
1.1 Applicability. These Terms apply to all Visitors (users who browse our publicly‑available content) and Registered Users (users who create an account, enroll in courses, apply for mentorship, purchase digital or physical products, or otherwise log in to access restricted areas). By registering for an account or using any part of the Services, you confirm that you have read, understood, and agree to abide by all provisions of these Terms, as well as our Privacy Policy, which is incorporated herein by reference.
1.2 Amendments. We reserve the right to modify, supplement, or replace these Terms at any time, in our sole discretion, by posting revised Terms on the Website. All changes become effective immediately upon posting. Your continued use of the Website after any such changes constitutes acceptance of the updated Terms.
2. Intellectual Property Rights
2.1 Ownership. All materials displayed or made available through the Website—including but not limited to text, graphics, photographs, images, illustrations, audio clips, video clips, downloads, courses, training modules, lesson plans, software, and underlying code (collectively, the "Content")—are protected by copyright, trademark, trade dress, moral rights, patent, or other proprietary rights and laws. All rights not expressly granted herein are reserved.
2.2 License. Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and make personal, non‑commercial use of the Website and Services. You may view, stream, or download Content for your own personal reference only. You must retain all copyright and proprietary notices intact on any copies you make.
2.3 Prohibited Uses. Without our prior written consent, you may not copy, reproduce, distribute, republish, download, post, transmit, modify, create derivative works of, or otherwise exploit in any way any portion of the Website or Content, except as expressly authorized herein. Commercial use of any Content is strictly prohibited. Unauthorized use may subject you to civil and criminal penalties.
3. User Conduct
3.1 Lawful Use. You agree to use the Website and Services only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.
3.2 Prohibited Activities. You must not:
- Use the Website to upload, post, transmit, or distribute any content that is defamatory, obscene, harassing, hateful, infringing, or otherwise objectionable.
- Harass, stalk, threaten, or otherwise violate the legal rights of others.
- Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
- Upload viruses, Trojan horses, or other malicious code that may damage or interfere with the proper functioning of the Website.
- Use any automated means (robots, spiders, scripts) to access or scrape data from the Website without our express written permission.
- Interfere with or disrupt the integrity or performance of the Website or the data contained therein.
3.3 Monitoring and Enforcement. We reserve the right, but have no obligation, to monitor your use of the Website and Services. We may investigate any violation of these Terms and may take any appropriate legal or technical action, including terminating your access, removing or blocking access to content, and reporting you to law enforcement authorities.
4. Account Registration and Security
4.1 Eligibility. To register as a Registered User, you must be at least 13 years old. If you are between 13 and the age of majority in your jurisdiction, you confirm that you have obtained parental or guardian consent to register.
4.2 Account Creation. When creating an account, you must provide accurate, current, and complete information. You agree to keep your account information up‑to‑date.
4.3 Credentials. You will select a username and password. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach.
4.4 Account Termination. We may suspend or terminate your account at any time for any reason, including breach of these Terms, without prior notice or liability.
5. Purchases, Subscriptions and Payments
5.1 Paid Services. Certain features, courses, downloadable resources, or mentorship programs may require payment ("Paid Services"). Fees will be displayed prior to purchase and, where applicable, billed to the payment method you provide.
5.2 Billing and Payment. You agree to pay all fees and applicable taxes. Payments are processed through secure third‑party payment processors. You authorize us and our processors to charge your selected payment method for all fees.
5.3 Subscription Terms. Unless otherwise specified, paid access to digital courses, memberships, or other recurring services is billed on a subscription basis (monthly, quarterly, or annually). Subscription details and renewal terms will be clearly disclosed during checkout.
5.4 Refunds & Cancellations. Refund and cancellation policies vary by product. Please review the specific terms provided at purchase. If no refund policy is provided, all purchases are final. Refund terms applicable to live courses and training programmes are set out in Section 6 below.
5.5 Access Period. Access to Paid Services typically lasts for six (6) months from the date of purchase, unless otherwise stated. After expiration, your access will be suspended unless you renew or repurchase.
6. Enrolment Terms
The following terms apply to all live courses and training programmes offered through the Website. By completing registration and submitting payment for any course, you confirm that you have read, understood, and agreed to be bound by this Section in full. These terms apply to all participants in addition to the general Terms set out elsewhere in this document.
6.1 Enrolment & Payment.
- Enrolment is confirmed only upon receipt of full payment. Completing a registration form without payment does not reserve your place.
- Payment is required in full at the time of registration. No instalment options are available unless explicitly stated for a specific course.
- All prices are stated at checkout and are inclusive of applicable taxes where required by law.
- Your place is non-transferable. You may not sell, gift, or assign your enrolment to another individual without prior written consent from us.
6.2 Refund Policy.
6.2.1 General Principle. We are committed to being fair. Refunds are available in the specific circumstances set out below. Outside of these circumstances, all sales are final. Where a refund is approved, it will be for the full amount paid, less any payment processing fees and platform charges incurred, which are non-recoverable.
6.2.2 Refund Before Course Commencement. If you wish to withdraw from a course before it begins, you may request a refund provided your request is submitted in writing at least 72 hours (3 days) before the first scheduled session. Requests received within 72 hours of the start date will not be eligible for a refund.
6.2.3 Medical Emergency or Serious Illness. If you are unable to participate due to a verified medical emergency or serious illness affecting you or an immediate family member, you may apply for a refund or a credit toward a future cohort. The following conditions apply:
- A written request must be submitted as soon as reasonably practicable.
- Supporting documentation must be provided (e.g. a medical certificate or letter from a licensed healthcare provider).
- Requests will be reviewed on a case‑by‑case basis at the sole discretion of the Organiser.
- Approval is not automatic and is subject to verification of the documentation provided.
6.2.4 Technical Failure on Our End. If a technical failure attributable to our platform or infrastructure results in your inability to access a session, we will take one or more of the following remedial actions:
- Provide access to a recorded replay of the affected session.
- Schedule a make‑up session for affected participants.
- Issue a proportional credit toward a future cohort.
A full or partial refund due to technical failure will only be considered if the failure is systemic, persistent, and renders the course materially inaccessible for a significant portion of its duration. Technical difficulties on the participant's own device, internet connection, or software are not grounds for a refund.
6.2.5 Non‑Qualifying Circumstances. Refunds will not be issued for any of the following:
- Change of mind after the 72‑hour pre‑commencement window has passed.
- Failure to attend sessions due to personal scheduling conflicts.
- Dissatisfaction with course content, style, or outcomes.
- Failure to apply course materials or achieve desired results.
- Technical issues caused by the participant's own equipment or connectivity.
- Partial completion of the course.
6.2.6 Course Cancellation by Us. In the unlikely event that a course is cancelled in its entirety before commencement, a full refund will be issued to all enrolled participants within 14 business days.
6.2.7 How to Request a Refund. All refund requests must be submitted in writing to clecollective1@gmail.com. Requests must include your full name, registered email address, date of payment, the name of the course, and the reason for your request, along with any supporting documentation where applicable. Approved refunds will be processed within 10 business days.
6.3 Participant Obligations. By enrolling in any course, you agree to:
- Attend sessions with a genuine intent to learn and participate.
- Maintain respectful conduct toward the instructor and fellow participants at all times.
- Not record, share, reproduce, or distribute any course materials, session recordings, or content without prior written permission from us.
- Use course materials solely for your own personal or professional development.
6.4 Course Materials and Intellectual Property. All course materials, including but not limited to slides, scripts, templates, recordings, and written resources, are our intellectual property. Nothing in these Terms grants you any licence to reproduce or distribute such materials beyond personal use. These protections are in addition to those set out in Section 2 of these Terms.
6.5 Results Disclaimer. Results from applying course content may vary and are not guaranteed. To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, or consequential loss arising from your participation in or inability to access any course. This provision is in addition to the general limitations set out in Section 11 of these Terms.
7. User Generated Content
7.1 Definition. "User Content" refers to any text, images, videos, comments, feedback, ratings, or other materials you submit through the Website.
7.2 License Grant. By submitting User Content, you grant us a perpetual, royalty‑free, worldwide, non‑exclusive, fully sublicensable, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with operating and promoting the Website and Services.
7.3 Responsibility. You represent and warrant that you own or have the necessary rights to all User Content you submit and that such User Content does not infringe any third‑party rights or violate any law.
7.4 Removal of Content. We reserve the right to remove or refuse to publish any User Content in our sole discretion without notice.
8. Third Party Links and Services
8.1 Third‑Party Websites. The Website may contain links to third‑party websites or services not owned or controlled by us. We do not endorse or assume responsibility for any such third‑party content, privacy practices, or terms of service.
8.2 Use at Your Own Risk. Accessing third‑party links is at your own risk. Any dealings you have with third parties are solely between you and the third party.
9. Privacy Policy
Your privacy is important to us. Our Privacy Policy, which explains how we collect, use, and protect your information, is incorporated by reference into these Terms. By using the Website, you consent to our data practices as described therein. Personal information collected at registration for courses will be used solely to administer your enrolment, deliver course communications, and provide access to course resources. Your data will not be sold to third parties.
10. Disclaimer of Warranties
10.1 AS‑IS. THE WEBSITE AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED.
10.2 NO WARRANTY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE.
11. Limitation of Liability
11.1 TO THE FULL EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS (USD 100), WHICHEVER IS LESS.
12. Indemnification
You agree to indemnify, defend, and hold harmless Unini Campbell, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your breach of these Terms;
- Your violation of any law or third‑party rights;
- Your use of the Website or Services; or
- Your User Content.
13. Termination
We may terminate or suspend your access to the Website and Services at any time, with or without cause or notice. Upon termination, all licenses and rights granted to you under these Terms will immediately cease.
14. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to these Terms or the Website will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You and we submit to the exclusive jurisdiction of the federal and state courts located in New York County, New York, for resolution of any such disputes.
Please note: The Enrolment Terms set out in Section 6 are governed by the laws of the Federal Republic of Nigeria. Any disputes arising specifically under Section 6 shall be subject to the exclusive jurisdiction of the courts of Nigeria.
15. Binding Arbitration and Class Action Waiver
15.1 Arbitration. Except for small claims matters or actions seeking injunctive relief, any dispute arising under or relating to these Terms or the Website shall be resolved by binding arbitration under the Federal Arbitration Act ("FAA"). The arbitration will be administered by JAMS under its Comprehensive Arbitration Rules. Judgment on the arbitrator's award may be entered in any court having jurisdiction.
15.2 Class Action Waiver. YOU AND WE AGREE THAT ANY DISPUTE WILL BE RESOLVED INDIVIDUALLY. NO CLAIMS MAY BE ASSERTED OR ARBITRATED AS A CLASS OR COLLECTIVE ACTION.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will remain in full force and effect.
17. Waiver
No waiver of any breach of these Terms will constitute a waiver of any other or subsequent breach. All waivers must be in writing and signed by an authorized representative of Unini Campbell.
